Seller Agreement
The rules for operating your shop on LocalyCo.
Testing draft and operator details
These are working policies for the testing release, not a lawyer-approved final contract. The marketplace operator’s legal business name, contact email and mailing address must be published before launch. Do not treat these drafts as a guarantee of legal compliance.
Your shop and responsibilities
You must be at least 18 and have legal capacity to operate your shop, or act as an authorized representative of a business. Provide accurate identity, contact, operating-address and payment information; keep it current; secure your account; and notify us of unauthorized access.
You must genuinely base and operate your selling business in Canada and comply with our Canada-Based Seller Policy. You remain responsible for your products, listings, intellectual-property rights, inventory, fulfilment, customer service, permits, product safety and applicable taxes. Do not misrepresent where products are made.
You may list only designs that comply with our No-AI Design Policy. Acceptance is an attestation, not a certification that we have independently verified your location or design process.
Policies incorporated into this agreement
The Payments, Fees & Payouts Policy; Seller Standards & Prohibited Products; Shipping, Returns & Refunds Policy; Customer Data & Marketing Rules; No-AI Design Policy; and Canada-Based Seller Policy are part of these seller requirements. The Privacy Notice explains how information is handled; acknowledging it is not consent to unrelated marketing.
The buyer purchases the listed goods from your shop. LocalyCo provides marketplace and payment-related services; describing this role does not exclude responsibilities the law or payment-provider contracts place on the operator. Do not describe held funds as escrow, a deposit account or a guaranteed bank balance.
Payments and authorization
By connecting Stripe and accepting these policies, you authorize LocalyCo to perform the disclosed payment, transfer, refund and fee-collection activity supported by this integration on your behalf, and to share the necessary account and transaction information with Stripe. Stripe independently controls its verification, payment services and restrictions. Its applicable Connected Account Agreement is separate and must be accepted through Stripe’s flow.
You authorize only the platform fees and deductions disclosed in the applicable payment policy and checkout, including the suspension-related holds and application of held proceeds to refunds, payment disputes and other amounts described in the Payments, Fees & Payouts Policy. We do not promise a particular payout date, waive Stripe’s requirements or treat a seller agreement as removing our obligations to Stripe or customers.
Content permission and disputes
You retain your rights in your content. You grant LocalyCo a non-exclusive permission to host, resize, display and distribute the content you submit to operate and promote your listings, storefront and requested shop updates. This permission does not transfer ownership of your designs.
Respond promptly to complaints and payment disputes, preserve order and design evidence, and cooperate with reasonable investigation requests. You are responsible for losses caused by your unlawful conduct or breach, to the extent allowed by law. These drafts do not impose mandatory arbitration or waive non-waivable consumer rights.
Strikes, suspension and held funds
Admins review reports and may issue a strike for a confirmed policy breach, with a seller-visible explanation. A report alone is not a strike. Three active strikes automatically suspend new sales, hide the shop and its listings from the marketplace, and stop new transfers of funds still held by the platform. Strikes remain active until removed; they do not automatically expire each month.
We may also remove listings or restrict sales or fund releases for fraud, safety issues, incomplete verification, payment disputes or unpaid disclosed fees. Where practical, we explain the reason and allow a response or correction; urgent safety, payment-provider or legal concerns may require immediate action.
During suspension, funds still held by the platform may be withheld rather than paid out and, where permitted, used to resolve the seller’s outstanding refunds, chargebacks, payment disputes and related disclosed amounts lawfully owed. Suspension is not automatic forfeiture of all earnings. The scope, review and release safeguards are set out in the Payments, Fees & Payouts Policy; applicable law and Stripe requirements always apply.
Appeals and separate approvals
You can view your strikes and submit an explanation and supporting files in Seller Studio’s Strikes & appeals tab for human review. Evidence is private to you and authorized admins, not published on the marketplace. Provide only relevant information you are entitled to share. Support contact details must be supplied before launch.
Submitting an appeal does not lift restrictions. An accepted appeal removes that strike, but does not automatically restore selling or release held funds. An admin must approve restoring sales and releasing the moderation-related funds hold separately. Restoring sales requires fewer than three active strikes; separate manual suspensions, unpaid-fee restrictions, payment reviews and Stripe restrictions can still apply.
Existing orders, earnings records and appeals remain accessible while new sales are suspended. Continue to fulfil paid orders where appropriate, communicate with buyers and cooperate with refunds and dispute resolution. Suspension or closure does not cancel existing orders or erase outstanding obligations.
Closure and policy changes
Closing or suspending a shop does not erase outstanding orders, refund obligations, disputes or lawfully owed fees. Fund holds remain subject to applicable payment-provider rules and law, including applicable time limits. Material changes are published as a new version and require renewed acceptance before further publishing; we will not silently rewrite your recorded acceptance or retroactively change an order’s disclosed terms.
